The global Cross-Border M&A tide provided chances for Chinese enterprises. After China's accession into World Trade Organization, Chinese economy .cooperated better and better with the other countries. Foreign investment flooded in and foreign multinational companies merged many Chinese companies. When the Chinese companies facing with the challenges, also they should go abroad and actualize Cross-Border M&A strategy. China's enterprises are still in infancy in cross-border M&A. Facing with the international and local environment full of opportunities and challenges, using the Cross-Border M&A theories to direct Chinese enterprises' practice, using the successful experiences of foreign multinational companies for reference and combing with the Chinese enterprises' practice to study the Cross-Border actions of Chinese enterprises is of practical significance. Through the study of obstacle the Chinese enterprises faced during Cross-Board M&A, this thesis provides a viable way for Chinese enterprise to go out sooner and better. Except the introduction this thesis includes four parts. Part one is the summary of business enterprise cross-border Mergers & Acquisition (M&A). Part two looks back the incentives related theories of the cross-border M&A action of enterprises and the tendency of it. Part three focuses on Chinese enterprises' cross-border M&A, analyzing the meaning, status, development trend, and the problems they faced. Part four enumerates two cases, which are TCL purchased Schneider and Jingdongfang Group purchased TFT-LCD operation.
