The U.s. Employee Stock Ownership Plan Esop Revelation

Employee stock-ownership plan, ESOP, was originated in1930's in USA and was rapidly introduced to the whole world. ESOP plays an important role in alleviating labor-capital disagreement, improving enterprise management structure and realizing economic democracy.The enterprise internal employee stock ownership, EIESO, practiced in China after it initiated economic reform and opened to the outside world is the primitive form of ESOP. However, harnessed by Chinese special economic and lawful environment, the EIESO neither is standardized nor yields expected fruit. Now in the newest round of state owned enterprise reform,we are once again facing the challenge of standardizing and improving our EIESO and making abetter use of this system. USA is the birth place of ESOP and the country where ESOP is best implemented. The author thinks that studying the implementation of ESOP in USA helps us to promote the practice of this system in China. Based on the law concept and thought of Trust, this article is consisted of four chapters with 32000 words. First chapter: The implementation of ESOP in USA. This chapter introduces the basic information of birth and development of ESOP in USA, the system arrangement and characters of ESOP in USA, its role and existing problems. Second chapter: Some relative law questions on ESOP in USA. This chapter introduces the concept and features of ESOP, compare of ESOP with relative systems, lawful feature of ESOP and ESOP's lawful roll. We should treat, design and operate ESOP within the law frame of Trust. Third chapter: Law practice of ESOP in China. This chapter introduces the practice and law questions of EIESO, practice and law questions of ESOP. Finally it summarize on the law practice of ESOP in China. Fourth chapter: Some basic suggestions on target mode of ESOP in China. It introduces the basic principle of mode of employee stock –ownership in China, the suggestion on basic mode of ESOP in China and some relative policy.
