Legal Status Of Managers - Limited

With the development of the modern corporation's systems, whose main shape is Publicly Held Corporations, the right of ownership and the right of management in the enterprise gradually deviate, and, accordingly, the role of managers with salaries has been more and more important. As the managers are the corporation's super employees, the proper location of their legal status and the effective operation of their duty right have enormous influences on the corporation's development, and the concerned investors' (including shareholders') profits, especially when managers' right has got more and more influential now. Managers' legal status is, on the basis of their duty, the legitimate quality or role, in the course of the actions within or out of the corporation, which reflects corporation managers' trait and value, and fundamentally control and is reflected by the legal prescription of managers' right, obligation and liability. Observing and analyzing mangers' legal status with several characteristics has radical value of proper constitution and effective operation of managers' legal regulations.In the first chapter of the article, the author has made researches on the corporation managers' legal Status. Firstly, he analyzed the juris-meanings of manager's concept, subsequently introduced the relations between mangers and other bodies concerned within or out of the corporation, then observed and analyzed the theories of managers' legal status, and finally, on the background that the right of corporation's affair operation had divided nowadays, he explored the managers' status, and criticized the concerned provisions in china's corporation law, and made some suggestions of improvement.In the second chapter, the author has observed the western rules of managers' right, and then analyzed and criticized china's rules of managers' right.In the third chapter, the author has made further research on manager obligations and liability, and also analyzed and criticized the deficiency of the rules concerned.In the final chapter of the article, the author has put forth some legislation questions of china's manager legal status.
