Corporate governance as a management art in the two rights separation mode of modern enterprise system received more and more universal attention. With the deepening of enterprise marketing activities and company’s business increased specialization, corporate governance mechanism has quietly changing from the board of directors center doctrine evolution to the manager. At the same time, managers with professional knowledge and management skills arises at the historic moment, to dominate in the internal governance structure and play an important role. However,with the improvement of manager position and the expansion of the scope of rights, the phenomenon of manager abuse is increasingly prominent, gradually of the scope of rights, the manager abuses phenomenon is increasingly prominent, gradually formed the adverse impacts on the company’s interests and shareholders’equity. So the manager right system is the only way to perfect corporate governance structure, but also the driving force of the development of enterprises in the future.This article is divided into four parts except introduction, the basic idea is as follows:The first part, the introduction of the concept of right of manager. Analysis of the concept of right of manager and legal nature.The second part, discuss the content manager right. Firstly from the two big law countries analyzed the similarities and differences on the scope, which leads to the manager of two big power function, gradually to the corresponding obligations and responsibilities of the manager system in detail.The third part, the manager right form of using rules and limits are discussed. From the manager rights granted, acquisition and elimination of the right to carry on the analysis, emphatically probes into the reasons the limits of right to manager and limit form, etc.The fourth part, mainly analyzes the manager right system building, this paper puts forward the basic idea of perfecting legal system of company manager.
