Corporate management has been a common concern of thecompanies in the world. However, the managerial patterns may vary withheterogeneous traditions, cultural backgrounds, and pofitical andeconomic systems. In the course of the world's economic development,each pattern correspondingly plays a dominant role in different periods.At present, as a special section in the company, the independent directorsplay an active role in balancing the benefit conflicts between shareholdersand managers, supervising and regulating "inner circle control", andoptimizing corporate management. In our country, introducing the system of independent directors is agradual process. Its official debut was on Aug. 16th 2001, when Chinasecurities Regulatory Commission issued the Guidelines for IntroducingIndependent Directors to the Board of Directors of Listed Companies. Byresearching the roles of independent directors in strengthening corporatemanagement and operation, I think that there is still a long way for us topromote the system of independent directors in China in a real sense. Above all, this thesis is devoted to the roles and functions ofindependent directors in corporate management. It also deals with theadvantage and disadvantage among the three typical patterns of corporatemanagement; and focuses on the emergence, development and practicalexperience of independent directors in U. S. A. so as to seek a system ofindependent directors suitable in our country. China has its own contextsdifferent from other countries, and its historical tradition and culturalbackgrounds will have a far-reaching effect on corporate management.Thereby, based upon the context of our country, this thesis holds that ourcountry should make active efforts. There are the effective measures toimprove the corporate management in our country. In summary, at the beginning of introducing the system ofindependent directors into the managerial mechanism of listed companies,it is hard to produce instant effect.
