The manager in modern business enterprise plays a very important role and prominent function, related to directly exist and development of the business enterprise. And the modern business enterprise regards company system as predominance, the important characteristic of the company system of business enterprise is the separation between ownership and operation right, so the executive incentive became a common problem. If establishing modern business enterprise system is the center link of our country's economic system reform, so establishment of the executive incentive mechanism is the institutional key in modern business enterprise. Particularly at the time of knowledge-based economy, people discovers gradually that manager's human capital determines the rise and fall of the business enterprise, and manager take the most responsibility, undertake the enormous risk, should acquire reasonable and legal return that matches the risk and duty. This article studies the currency recompense incentives to manager, and puts the manager into the frame of the trust-agency model, and studies the manager incentive inducement and how clients design the currency recompense incentives mechanism, such as annual salary system and stock option, this is really important to establish and perfect our modern business enterprise system and incentives and restrictions mechanism to the manager, and has important academic and realistic meaning to the growth of the manager and the exaltation of the economic performance in business enterprises.The thesis is divided into four parts.The first part briefly introduces the concept of the manager, pointing out the differentiation between manager and common personnel or operator, at the same time definite the manager, and I think in company system of business enterprise, the board of directors and executive are both managers, and explain the reason. Through the humanistic assumption of manager, clarified the behavioral purpose of executive primarily is to pursue the maximization of currency remunerate, prove the necessityof the currency recompense incentives to manage, and divided the currency recompense contract into fix contract and changeable contract.The second chapter introduces trust-agency theory and human capital theory as the basic of the currency recompense incentives to manager, discussing general assumption of currency recompense incentives model and the relation between each parameter for involving, establishing the suitable trust-agency model.The third chapter analyzes concrete fulfillment of currency recompense incentives in our country. First looking back to currency recompense incentives to manager and analyses the present condition, putting forward the problem that exists in our current state-owned enterprise manager incentives mechanism, and briefly analyzed the reason of these problems. Then introducing respectively short-term incentive type, annual salary and inducing a few practice modes, analyzing typical cases and long-term incentive type, stock option and its characteristics, function, four main factors of the project design and the source of stock option, analyzing two general modes: the mode of Shanghai and the mode of Beijing, and analyzing typical cases.The fourth chapter primarily discusses the obstacle and countermeasure in the practice of annual salary and stock option through contrasting successful experience of developed country and our shortage. From choice of the manager, the evaluation of the accomplishment and the short-term behavior, deeply analyzing the general existing problem in the annual salary system and put forward the corresponding countermeasure; omission from the laws and regulations, weak validity and shortage of perfect company administrative structure, etc. analyzing stock option faces a great deal of obstacles of our country's development, discussing ways of improving this system validity, from improving the legal environment, security market, entrepreneur's market, company administration structure, etc. separately, putting forward several countermea...
