Therefore, the entry of market must be strict, which is the premise of the market order. Incorporation is the center of the corporation system. Because of the importance of the incorporation, common law system and civil law system all build strict statutes. However, legislation is not equal to practice. When someone breaks the law , defective incorporation occurs . The idea of corporation defect refers to such legal facts as those that could have an impact on the stability of the acquired corporate personality or that could set its corporate personality into a state of disharmony due to some illegal or inappropriate cases during the founding of the corporation. Corporation of defect doesn't satify the qualification and process of statue. In course of trade, it will be possible to transfer the business risk to shareholders , creditors and stakeholders.And therefore it is of momentous theoretical and current significance to make a study of legal issues about regulation of corporation defect from the point of theory of law and legal provisions.The exploration of this dissertation mainly consists of five parts:The first part give a comprehensive definition about the legal concept of corporation defect, and compares with some concerned legal concept in order to further reveal its particularity.The second part analyses corporation defect from the corporation of the company.The third part analyses patterns of corporation defect based on the law of corporation.The fourth part analyses the corporation defect of common law system and civil law system.The fifth part exams the native law and analyses its characteristics and shortcoming, then put forward the ways and means for perfecting native law system of the summary.
