The thesis first details the classification of state-owned stocks, its characteristics and relevant theories on the transformation the state-owned stock from non-negotiable to negotiable stock. Then it introduces the necessity and urgency of the negotiability of China's state-owned stocks in the securities market. A combination of qualitative analysis and quantitative analysis methodology has been employed in this part of the thesis.The core of the thesis consists of two parts, the first of which mainly introduces the basic status quo of China's securities market. With the clue of the reform of China's state-owned stocks, this part analyzes the reasons for the formation of China's unique securities market by using the method of quantitative analysis.The second core part of the thesis mainly focuses on the risks of the negotiatebility of our state-owned stocks. After expounding the definition and classification of "risks", this part analyzes the risk brought about by the problems of the circulation of China's state-owned stocks by taking into account the status quo of the securities market; and then, this part proposes some prevention measures.The last part of the thesis, by referring to the successful experiences of foreign countries and China's national conditions and its prospect, puts forward some suggestions and tactics on reducing the risks of the negotiation of state-owned stocks, such as regulating and standardizing the capital market, strengthening the supervision of parties concerned and improving the quality of companies in the stock market. This part mainly employs the methodology of comparative analysis.
