Corporate Governance Mechanism To Explore

Corporate governance is an important systematic safeguard of enterprises to breed and develop their core competitive power in order to acquire competitive superiority. To some extent, the competitive power of enterprises directly determines a country's competitive power, and some studies have established that the big gap between Chinese and Foreign enterprises with regard to market competitive power is fundamentally caused by the great differences of the corporate governance level. Therefore, a study on corporate governance has an important theoretical and realistic meanings.The author holds that corporate governance mechanism includes twoaspects-internal corporate governance mechanism and externalcorporate governance mechanism, and the former is the key issue. The methods of comparative analysis has been mainly applied and corporate internal and external mechanism has been comparatively analyzed in this article , aiming at exploring the existing problems in the internal and external corporate governance of the Chinese enterprises and trying to put forward relevant perfecting suggestion.The article consists of the preface, general introduction of corporate governance, fundamental theories of corporate governance, international comparison and developing tendency of corporate governance, study on corporate governance of our country and conclusion.Chapter I introduces the general introduction of corporate governance. Firstly, it introduces the origination and the development of corporate governance. Secondly, it discusses the concept, the characteristics, function, purpose and core of corporate governance. At last, it discusses the necessity and significance of improving and perfecting corporate governance.Chapter II inquires into the fundamental theory and relevant problems, paving the way for the exposition of the coming two chapters.
