Foreign M & A Related Stakeholder Interests In The State-owned Enterprises Protection Research

With the multinational corporations' mergers and acquisitions in the world, it becomes focus that state-owned enterprises are merged and acquired by foreign investors in China. The thesis applies such research methods as history analysis, international comparable analysis, demonstration analysis and term analysis. The thesis mainly discusses the rights protection of the related parties in the mergers and acquisitions by the foreign investor, including state-owned stock, minority shareholders', creditors' and employees' rights.In the first chapter, involved conceptions are defined, the feature and legislation of foreign investors merging and acquiring stated-owned enterprises are analyzed, some problems are put forward, and the improving principles are optimizing resources collocation, benefit balance and efficiency.The second chapter analyzes the cause and legislation of state-assets loss, and supposes that we should construct the new managing and supervising state-owned assets system, improve the accusatorial liability system and develop the canonical property right exchange market and the state-owned assets evaluating system.In the third chapter, the author first defines the minority shareholders, and construes the situation of their rights protection.
