Thus, the theory about the protection of the rights and interests of the investors had been an emphasis subject in such researching area, and whether from an economic angle of view or through a legal sight, a lot of the domestic and foreign researching scholars had published many scholar articles and results with great realistic significance.Moreover, what was the essential problem faced by the investors about the protection of their rights and interests in the Chinese domestic securities business and further, how to effectively protection the investors, and how to promote the domestic securities business develop healthily, regularly and rapidly, which had risen as the great issues in this area and resulted to lots of contention and discussion.Therefore, this dissertation proposed to hereafter in, on the basis of summarize the relationship between the investors and securities business, analysis the relevant theories and principles about the securities business and the protection of the rights and interests of the investors, expatiate the initial linking between them; and analysis the main Chinese laws, articles and provisions about the protection of the rights and interests of the investors, especially linking with the Chinese Company Law, New Amendment, which had strengthened the obligations and liabilities borne by the stock companies and the supervising managing staffs, the Chinese Securities Law, aggravating the civil liabilities of the fraud actions in securities business and other regulations directly or implicationally linking with the protection of the rights and interests of the investors, and the Chinese Criminal Law, New Amendment, increasing the new provisions about the definition of the securities crimes and the criminal legal sanction, and therefore to point out the main defections, in several aspects, lying in the present structure about the protection of the rights and interests of the securities investors with the main reasons which caused such embarrass circumstances, and to attempt to looking for certain illuminations which helped to finally resolve...
