The thesis is an analysis concerning an array of legal issues on foreign investors'assets acquisition, as well as a series of suggestions to the relevant Chinese legal system.Chapter 1 introduces the theory to the relevant assets acquiring. Chapter 2 is about issues on the subject in foreign investors'assets acquisition, such as lawful criterion on who is a foreign investor, legal statue of country in foreign investors'assets acquisition. Chapter 3 mainly discusses the issues on the object in asset acquisition, and the difference between assets acquisition and assets transaction. Chapter 4 focuses on the special rights and obligations of parties in foreign investors'assets acquisition. Based on the theoretical analysis concerning foreign investors'assets acquisition in the thesis, chapter 5 suggests that the law of foreign investors'assets acquisition should be set up as a part of legal frame in foreign capital M&A.
