This paper compares the two systems of supervision, independent director and supervisory board, in the fields as follow: background, theories, functions, practical results, advantages and shortages, and so on. It proves that these two different systems can exist harmoniously and be coordinated.The paper analyzes how to coordinate these two systems to bring fully their advantages. It offers the problems which will be produced because of the coexistence between the two different systems too. The paper suggests how to coordinate independent director and supervisor board according their different functions. It also promises that the two different systems could coordinate well and give fully play to their own advantages to protect the interest between the company, middle and small shareholders and creditors.According our country's situation, the article suggests it will be better to let the company to choose independent director or supervisory board by themselves.
