The implementation of equity division reform and the release of equity incentive system related legal regulations, have created the market environment and eliminated the system barriers for the execution of equity incentive system. The fresh operation environment gives a whole new start for the development of equity incentive system in our country, which will definitely facilitate the application of equity incentive system in listed companies. By introducing the development of this system in theory and foreign application, and analyzing the concrete practice in our country, this article analyzed the concrete aspects of our current equity incentive that need to be improved from all the requirements for implementing equity incentive.This article consists of the introduction, the body and conclusions. The body includes four chapters. The first chapter is the brief introduction of equity incentive system, which introduces the concept, nature, classification, theoretical basis and practical meaning of the system, for the elementary understanding of readers; the second chapter focuses on the legal regulations and existing problems with the equity incentive system in the US. The equity incentive system of our country mainly drew lessons from practical experience abroad, while the US equity incentive system has developed the most completely, which has undergone all the stages of the development, from brilliance use to abuse, being questioned and then gradual adjustment being adopted, therefore it is necessary to carry out the systematical analysis on the US equity incentive system; the third chapter introduces the current situation of the development of our equity incentive system after the release of relevant regulations of equity division reform and equity incentive system, and emphasized the existing problems and potential risk; the fourth chapter offers some suggestions for better implementation and consummation of the system, and solutions to the existing problems, based upon the previous analysis and combined with the realistic situation of our country.
