In the 1940 s and 1950 s,equity incentives as a means of tax avoidance began to be used by US companies.The most initial incentive mechanisms used stock options,with the recovery of the global economy and high-tech industries in the United States.With the rise of Silicon Valley as the center,equity incentives began to play a role in relieving the company's initial capital shortage and retaining the company's outstanding talents.Since then,the types and types of equity incentives have begun to diversify,and the range of incentive targets has also increased.From top to bottom development,some grassroots employees also included incentives.This article starts with introducing the basic theory of equity incentive system for listed companies.The first chapter summarizes the research background,significance and domestic and foreign research review of this article,and points out the research ideas and innovations of the article.Chapter 2 introduces the characteristics and legal nature of the equity incentive system,and focuses on the value of the equity incentive system in improving the corporate governance structure,integrating human capital,and resolving conflicts of interests between the company's managers and owners.Several theoretical foundations behind the system.The third chapter introduces the equity incentive system of the United States specifically,and mainly interprets its key legal provisions to provide reference for the improvement of China's legal system.The fourth chapter is the normative inspection of China's equity incentive system.The fifth chapter through the empirical analysis of the equity incentive of Vanke,the results of the common problems in our company's practice,led to the sixth chapter on China's listed company equity incentive system to make recommendations.Although China began to explore equity incentives at the end of the last century,due to the current legislative level and social constraints,how should listed companies respond,how should legislators respond to this,and how to summarize outstanding foreign practical experience to promote China's indigenous development? It is this large environment that does not cover the “foundation” of the equity incentive building.The theoretical significance of studying the equity incentive system lies in finding out the core of the system,including the legal connotation,legal feature s,and laws of the equity incentive system.Nature,analysis of the advantages and disadvantages of relevant legal systems,the establishment of an institutional framework,and thus put forward sound advice to achieve the maximum effect of equity incentives.It is hoped that the above issues can be explored through articles to give rise to reflections.
