Study Of The Board Of Directors Of Corporate Foreign-invested Enterprises In China Legal System

It has been thirty years since the adoption of reforn and opening-up policy.According as the statistic of the Ministy of commerce 484,329 Enterprises With Foreign Investment have been set up from 1978 to 2008.02. To humor the backdrop of plannioed economy,we upbuilded a special system of corporate governmance,a special Directorate,which aggregate the functions of normal Shareholder's confernce,Directorate and Supervision Committee.Although this special Directorate of Enterprises With Foreign Investment with legal personality took many effects in that age,it cann't be seasoned with 'division of power' and the new backdrop of The socialist market economy. And it is time to amend this special Directorate.In this dissertation I will make a particular contrast between this special system and normal corporate governmace.Then bring forward a project to amend it,in my opinion we can amend the special system and then unify the law of Enterprises With Foreign Investment and domestic law.
