With the globalization and increase of foreign direct investment in China from developed countries, more and more multinational companies have extended their influence into China in the form of joint venture, merger and acquisition and establishing wholly owned enterprises. And conducting the act of commercial bribery has become an important method used by multinational companies to obtain more benefits. With stronger financial power, the multinational companies will hence do much great damage to the political, economic and social interests of China. Accordingly, Chinese government is sparing no efforts to fight against the commercial bribery acts involving multinational companies that do business in China. From legal perspective, there are still a lot of deficiencies in the current Chinese anti-commercial bribery legal system. These are the reasons why the current Chinese anti-commercial bribery legal system is still not powerful enough to fight against the commercial bribery acts of multinationals and also why we need to refer to and learn from the developed countries'.This paper is divided into five chapters.Introduce presents the significance of this paper.Chapter 1 of the main body introduces the actuality of transnational commercial bribery. Starting from the definition of the transnational commercial bribery, the writer introduces and analyzes the actuality, reason and harm of the transnational commercial bribery basing on some cases.Chapter 2 introduces and analyzes the form and development of the transnational commercial bribery legal system. FCPA which was constituted and amended by US affect the international society. The transnational commercial bribery legal system has been a branch of the international law field.Chapter 3 studies the domination of foreign and the Chinese anti-commercial bribery legal system outside the country, then analyzes that the transnational parent company takes the responsibility of its overseas subsidiaries' commercial bribery.Chapter 4 systemically analyzes the currently Chinese anti-commercial bribery legal system, and points out the problem.Chapter 5 presents some suggestions and ideas on how to improve the Chinese anti-commercial bribery legal system basing on the problem of currently Chinese anti-commercial bribery legal system.
