Our country has already executed the employee stock ownership system for many years,but many problems have emerged during the operation process even the original purpose met the economic development requirement.These problems puzzled our country market economic development,and became the keys to the security and relative areas.The Employee stock ownership system cannot play the most important role in the market economy development because the law of our country has no explicit definition and regulation about the employee stock ownership system relative rules.The trouble can not be solved under the unhealthy legal system condition,our country forbid the Employee stock ownership system in the past,and reserved more unsolved problems till today.This article review the employee stock ownership system origination, development and the historical period when it was forbidden by the government,analyze the exterior phenomenon and the fundamental problems,integrate many other countries experience,especially the mature experience of American employee stock ownership plans,and summarize the key problems of our country employee stock ownership system problems.Based on the further development requirement of employee stock ownership system,I propose that the legal regulation of the employee stock ownership system of China should be adapt to the reality of the development of the market economy,and provide the focus about the employee stock ownership system and instructive advice about the legal system of the Employee stock ownership system.
