State holding listed companies in the stock market holds the most important position, ownership of state-owned shareholders, the special attributes generated by the holding of its governance of listed companies had a special impact. Performance in executive pay system, on the one hand is on the executive pay of government departments have strict administrative control; the other hand, increasing executive pay. This contradictory phenomenon is the study of Chinese state-controlled listed companies starting point for executive compensation; also the governance of state holding listed companies and Regulation of the foundation.In this paper, I will study China's state-controlled listed companies, executive pay and Regulations. This article will show:As the state holding listed companies in the governance structure, shareholder control and internal control exist; in the way of executive compensation regulation, the administrative logic and market logic of conflict, which resulted in runaway executive pay and regulatory failure.Chapter one is state-controlled listed companies an overview of executive compensation.
