China’s state-owned holding company executives pay system reform has been the focus of the reform of state-owned enterprises in recent years. To adjust to the income distribution order of the state-owned enterprise is related to not only the development of the enterprise, but also the social harmony.This paper focuses on the legal regulation of state-owned holding enterprises executive compensation. With analyzing the causes of the rapid increase of the executive compensation, and the gap between the income level of ordinary workers, the paper is trying to take some advice to the legal regulation.Firstly, the paper is stated-controlled listed companies an overview of executive compensation. It defines the state holding listed companies, company executives and the concept of pay:described the company’s executive compensation system, the evolution and current status. After this, the paper analyzes the current situation of the legal regulation of executive compensation in China, discusses the main problems existing in legal regulation. The problems are as followed:the program of determining; the rigidity of the incentive and restraint mechanisms and so on. Through the review of legal regulations and the successful experience of foreign countries, the paper establishes a legal system to regulate the executive compensation in China, which includes the following aspects:to improve the regulation and decision-making procedures; to enhance the effect of the independent director, the Remuneration Committee and the board of supervisors; to regular the incentive an restraint of the executive compensation;The development of the system of the executive compensation is still in the initial state, in order to fully comply with our realities and the theoretical an institutional system of the new era, we need to work hard in all aspects. In addition, the issue concerns not only the legal aspects, but also with other disciplines as economics and management science. There are also many difficulties in relying on composite disciplines.
