National Security Review Of Foreign Mergers And Acquisitions In The System

At the background of economic globalization, the increasing foreign M&A activities have posed a severe challenge to the national security. In order to safeguard national security and prevent foreign M&A activities from an adverse impact on national security, many countries in the world constantly have established the national safety review system. The most representative in this respect, also the most successful countries, is the United States. Since 2002, China has replaced the United States to become the world's largest capital-importing countries. Having a view on the system of foreign M&A review about national security in China and learning from United States will help Chinese enterprises to go out of the country to invest the United States and do some favor to our country from the united States national security review of the rule of law, it develops and improves our standard mechanism to guard against the acquisition of foreign capital with to the negative effects and the harm to national security.Focusing on the National Security Review of Foreign Acquisition, this thesis; from the perspective.of comparative analysis, analyzes and explores the National Security-Review of Foreign Acquisition legal system in United States. Based on China's current laws and regulations on foreign acquisition, this thesis does a research on the absence of National Security Review of Foreign Acquisition in China as well as the potential adverse effects, which arise from foreign acquisition, on China's national security. In addition to Preamble and Conclusion, this thesis comprises 3 chapters, the abstracts of which are as follows:The first chapter elaborates foreign acquisition and the National Security Review of Foreign Acquisition from the macro perspective. It respectively introduces and analyzes the definition characteristics of foreign acquisition and the concept of National Security Review of Foreign Acquisition.The second Chapter mainly introduces the National Security Review of Foreign Acquisition legal system in United States at the aspect of comparative law. It compares from the point of legislative model, substantive rules and procedural rules, reveals the references to China's relevant legislation.The third Chapter introduces the current National Security Review of Foreign Acquisition of China and its defects. In the end, the thesis gives suggestions to the improvement of the National Security Review of Foreign Acquisition.
