The private lending has a long history in China, medium and small-sized enterprises have a financing problem since formal financial institution rare provide loan to them, in order to remedy financing gap, medium and small-sized enterprises have had to looking for the support of private lending. P2P(Peer to Peer lending), as a new way of private lending, combined finance with internet, has been widely accepted by the public.P2 P has been regarded as a convenient way to connect the lender and the borrower, for the advantages of the internet. In China, there has a rapid development of P2 P,the number of participants has showing a considerable growth, the financing scale also has recorded a remarkable increase. P2 P has provided a new investment channel to the public, which has a higher rate than the bank interest rates, while also has some potential risks to the participants that have already caused some social loss because of the lack of supervision to it. Therefore, having a fully understand of the risks of P2 P and promulgating suitable policy have become a meaningful topic now.Firstly, this thesis detailed elaboration the status of P2 P in China, including every aspect of the industry, by doing this, there can be a clearly understand of potential risks. Secondly, this thesis has studied the mode of the P2 P in U.S and the U.S.A, the reason to choose this two country is that the P2 P has a widely development in this country, the mode of operation, the model to control risk, the rating system and so on can be a guidance to China.In order to find the similarities and differences of the various places of China, this thesis uses the cluster analysis and factor analysis as the main metering model, cluster analysis has the advantage of classifying the most similar statistic samples, so that supervision policy can vary from district to district.
