China has promulgated many laws and regulations, which shows that the government supports the development of electronic commerce, and has created a relatively free and stable environment for the operation of e-commerce. However, the emergence of new forms of e-commerce development, the speed is amazing, is not expected. The old regulations do not become system, has been difficult to meet the needs of development.This paper points out the characteristics of the development of electronic commerce to these characteristics as the center and analysis of electronic commerce in our operation, the contradiction encountered by the government and in the regulation of electronic commerce, by drawing on the experience of foreign electronic commerce development, and mainly according to the characteristics of the development of e-commerce of our country proposed the role government should play in the regulation of e-commerce. First of all, the government should clarify its position in the development of electronic commerce and create a free electronic commerce environment and promote the smooth development of the electronic commerce;secondly, for the emerging C2 C e-commerce should improve market access threshold,while clearly third-party trading platform and payment platform of responsibility;finally, in view of the C2 C e-commerce a new form of derivative, the government should guide the rational regulate.
