The reform of state-run commercial bank is a key to the reform in banking system of our country. While affirming the reform of the bank, we should admit the reform of state-run commercial bank obviously lag behind in other reforms too. The raw negative effect has already threatened health and stability of macroscopically economy operation directly. The question of the state-run commercial bank concentrates on the assets quality of the bank credit mainly, the non-performing loan is too high in proportion, and other questions are derived from this indirectly or directly. The major view thinks the assets quality of state-run commercial bank low is an institutional question, therefore the prescription opened is concentrated on improving in system, think that only passes system innovation, breaking the current system frame, and this problem could be solved.This text thinks: the non-performing assets of the commercial bank are not totally caused by system, policy and political behavior, etc. In reality, it can not be totally summed up in the loan behaviors of enterprises either. The forming of the huge non-performing assets mainly comes from the disappearance of the effective administration structure of state-run commercial bank. "Insider control" causes the good company administration structure lack in China's economic transition course. The article is divided into four parts to carry on research to "insider control "of state-run commercial bank.There are two problems about the definition on "insider control" at present. First, "inside people" are not defined clearly. Second, the range of "inside people" lack ductility. The inside people originally in the article mean that utilize enterprise resource and information to be engaged in or advise others to be engaged in playing one' s own game or meeting the behavior of the personal desire , president (executives ) so concrete on the state-run commercial bank reach, it does not include the interior employee . "Insider control "is put forward during the process of studying SOE reform, this text expands it to the state-run commercial bank. Existing documents about "insider control" on state-owned commercial bank concentrate on inside control mechanism. The researches are in term of managing mode selection in thecompany, and through company governance reform to reduce "insider control "are little. Another characteristic of the article is, getting hold of our country's actual conditions of transition course constantly during the process of studying.In the theory part, this text thinks that "insider control" during the transition course is caused by three reasons, which are outside control mechanism can't fully work or only partly work; inside control work become useless; traditional system influence of leftover problem of mechanism. Through an analysis of these reasons, I set up the "insider control" model of transition economy. There is property right school, company governance school etc. The article insists on starting with managing the mode selection in the company, reform the systematic company administration structure to the state-run commercial bank, think that only in this way can overcome the negative effects caused by "insider control" completely.The research of "insider control" of state-run commercial bank is the main part of my article. Under the background that our country's macro economic system and monetary system are transiting from leading type of the plan to the leading type of market, the state-owned bank is regarded as the state-owned enterprise which manages the special goods, the general "insider control" phenomenon exists in them too. "Insider control" is the endogenous phenomenon in the course of the reform of commercial bank. "Insider control" of state-run commercial bank of our country possesses some characteristics that are similar with the general state-owned enterprise. Because the bank is a special enterprise, it still has a lot of one's own characteristics. To the reform of the state-run commercial bank, the article thinks: Firstly, the state-run commercial bank should change the characteristic of the transition governance mode completely, set up new-type "economy governance mode". "Economy governance mode" is a new-type company governance mode. It is based on interests' theories of persons who are correlated with, manages the administration idea of combining outside control and inside control together. Secondly, carry on the reform of the company administration structure of the state- run commercial bank from eight concrete respects. They include: Strengthen the state-run bank and manage the culture and adaptability; Confirm the role of government in the company of state-run commercial bank of location manages; Set up the strong board of directors, strengthen the function of the board of supervisors; Foster outside shareholders actively, enable them to control the insiders effectively; Strengthen theinstitutional improvement inside the bank; Set up market-based encouragement tied mechanism , raise agency by agreement efficiency; Perfect the information announcing system, improve the transparency that the commercial bank manages; Make great efforts to set up the external environment condition that the good company's administration structure of state-run commercial bank needs.
