Pharmaceutical Mergers And Acquisitions

Mergers and acquisitions (M&A), as a historical trend, has become one of the most important methods for enterprises to expanding, developing and participating in the competition in the international markets. Taking the pharmaceutical enterprises which performed active in M&A field as research objects, the author makes deep research and analysis on the M&A theory as well as on the background, development process and the practice process of the pharmaceutical enterprises'M&A in our country. Through the discussion on the problems existed in the pharmaceutical enterprises'M&A, the author puts forward related strategic suggestions based on the previous analysis. The paper starts with traditional M&A theories. First of all, the author introduces the types, motives and concepts of M&A. Then the author summarizes the characteristics of enterprises'M&A respectively according to the development history and current situation in china and oversea. In the second part of this paper, the author gives the background and characteristics of Chinese pharmaceutical enterprises'M&A and makes a comparison between those in China and in western counties. In the third part, through the cases studies on the pharmaceutical M&A, we can get know the motives, types and impacts of pharmaceutical enterprises'M&A in our country and the upward trend in the future. In the end of this paper, the author indicates that immature market environment, government intervention, low integration capability and ill-improved economics system are the key problems according to the previous study on M&A issues, and then proposed related suggestions that is to accelerate steps to make rules, transform government function, foster intermediary institutions and build modern enterprises system in a modest manner. The conclusion of this paper is that under the background of economics globalization, domestic enterprises should take M&A activities as its important methods and ways for further development. The market system of M&A in our country still needs to be improved. The pharmaceutical enterprises'M&A activities should be on the going in scientific manners. The enterprises should pay much attention to the integration after their M&A activities. Facing the waves of global M&A, Chinese enterprises should be capable of using the methods correctly and proficiently to enhance its strength and competitiveness in advance, so as to entering the global market smoothly.
