The county territory small and middle-sized enterprises play a veryimportant role in the development of county territory's economy .More and more attention is paid to the research of county territory'ssmall and middle-sized enterprises by the economic circles .Thispaper briefly depicted the development theory of the territory'seconomy and its three development strategies ,and correctlydescribed the definition of the concept of small and middle-sizedenterprises . with the development theory of territory's economy ,thispaper thoroughly reviewed the industrial layout ,the developmentcharacteristics as well as the status and function of the small andmiddle-sized enterprises in Cao county of Shandong province . Theproblems and challenges were analysed deeply which confronted theCao county's small and middle-sized enterprises .It was thought thatthe capital ,technique and manpower ,developmentenvironment ,security ,raw material and energy ,management andenvironment pollution problems were the important factors whichaffected the development of Cao county's small and middle-sizedenterprises .This paper actually analysed the opportunities of theinternational market ,macroscopical policies and accepting industrialtransition ,and the advantege of abundent resources and theexcellent investment surroundings .The countermeasures based onthese analyses which will promote Cao county's small andmiddle-sized enterprises to develop were provided .First is toenhance the technological quality of the products and themanagement level .Second is that the government should enforce themacroscopical regulation and normal leading .Third is to create thesuper investment environment and employment market .Fourth is thatthe resouces construction of raw material and environmentconservation should be done well .
