Independent Director System Of Listed Companies In China

As a core of corporate governance, the board of directors is selected by shareholders and bears responsibility for them;it appoints and removes top executives and undertakes corporation's strategic management. By dint of this important status , the board of directors introduces independent directors, keeps their outside and independent directors' supervision and evaluation, realizes its reconstruction and the perfection of corporate governance .This becomes the common selection for most countries in their corporate governance innovation.In our country, Independent director system in listed company has met with many difficulties, for example: there is no law to abide by for independent director system;the duty and function of Independent director confronted with those of the board of supervisor;there is no incentive or abounding mechanism and even no exact right for independent director. All. above lead the independent director system playing little role in the construction of corporate governance. It is necessary to perfect the independent director system which is required by the listed corporation recently in our country.In my thesis I introduced the Independent Director and its application in Chinese public companies by translating and studying lots of foreign dates as well as investigating the real status of Chinese public companies. All of these work can provide the right way how to establish a good Independent Director System.The most specially points of my thesis'are:Firstly , the theories and practices integrated together. Not only talked about the theories , but also gave plenty of real cases. This can give the readers more clealy impression.Secondly, I pay equal attention to internationalization and native realcondition .On the one hand I studied a lot of standard Independent Director System Which came from American and England, on the other hand I pay more attention on how to establish a better system in China.
