According to the OECD on the definition of the Venture Capital, the so-called venture capital (VC) is the investment which based on high-tech and knowledge, producing and operating the technology-intensive innovative products or services. The VC has a high profit, high-risk characteristics, and the technological development of the enterprise also has some externalities. So, both of the venture capital institutions and venture enterprises have the limited investment constraints, which will hamper the advancement of technology and the development of the national economy. Thus, the emergence and development of VC is not simply an issue of industry or some enterprises, besides rely on specialized venture capital institutions and high-tech enterprises own innovation, the government should do something for it.Any policy has always been to develop, first of all need to find its theoretical foundation in theory. First, this article has analysis the relationship between the taxation and the venture capital, then, noted the necessity and feasibility of implementation of tax incentives to the VC industry. At the same time, I have used a simple example to do the empirical analysis. Next, from the actual situation here have the overall exploration to the history of the development of China's VC industry, the status of the tax incentive policies and problems.
