Since the middle and later period of 20th century, the bank governance structure has attracted the attention from the domestic and foreign theories. The Bahrain bank bankruptcy case in 1990s, the Japan Bank bankruptcy case, the Asia financial storm and so on, makes the people to realize the necessity to strengthens the bank government structure. In September, 1999 the Barthel bank inspection general committee issues "Strengthens Bank Organization Company To govern", making the bank government structure to a new altitude.The dissertation discussed about the actuality, problems and resolvent in the legal person corporate governance structure of the city commercial banks. In the first place, it analyzed the theory and the mode of governance structure in commercial bank. It described the actuality in the city commercial bank. Through analyzing some city commercial banks, it educed that the absolute control on the city commercial bank form the government was the prime reason, which caused the faultiness in corporate governance structure of the city commercial banks. And then, the dissertation gave the effective way and necessary condition to resolve the problems, which was to advance Stockholder's rights multiplication, strengthen supervising and consummate essential factor market.
