Reform of state-owned commercial banks has become the most difficult part in China's economic and financial structure reform with the speed up of China's financial market opening. The corporate governance pattern of commercial banks plays an important role in their reform and in the competitiveness to foreign banks. The thesis, on the basis of property rights of human capital, tries to further study corporate governance structure, corporate governance mechanism and corporate governance evaluation to guide the reform of state-owned commercial banks theoretically.First of all, the thesis, based on both the specificity of state-owned commercial banks and evolution in institution and path dependence, applies the systematic theory, synergetics and the field theory, puts forward concept in corporate governance field of state-owned commercial banks, and forms a general framework for corporate governance field of state-owned commercial banks by analyzing synergetic characteristics and field theory reasoning of the basic elements consisting of bank governance.Secondly, the thesis probes into the governance model of state-owned commercial banks from the viewpoint of internal corporate governance structure and mechanism under the general framework of corporate governance. On the one hand, from the viewpoint of allocation of both property rights and control power, it studies the internal governance structure of state-owned commercial banks, i.e. beginning with the property rights arrangement of state-owned commercial banks, according to the development of the property rights of commercial banks and the law of economic development, it studies the allocation of property rights of human capital by game theory;by decision-making tree and comprehensive analysis of utility model, it puts forward how to choose the property rights, control power and behavior mode of state-owned commercial banks and how to optimize them. On the other hand, it rebuilds the corporate governance structure of state-owned commercial banks from the viewpoint of incentive of property rights of human capital, analyzes the micro design and operation of corporate governance structure by means of incomplete information dynamic game theory model, probes into the incentive and restriction mechanism of state-owned commercial banks, promotes the value realization of property rights of human capital, and carries out the optimal power balance of corporate governance of state-owned commercial banks.Thirdly, it studies governance mode of state-owned commercial banks from the viewpoint of external corporate governance mechanism. It also studies external governance mechanism from the viewpoint of power balance of the shareholders including market mechanism, supervisor mechanism, creditor mechanism etc. i.e. based on property rights of human capital, it discusses how external governance mechanism affects corporate governance of state-owned commercial banks to unify market mechanism, supervisor mechanism, and creditor mechanism, which are influenced by property rights of human capital.Finally, on the basis of studying both corporate governance structure and corporate governance mechanism of state-owned commercial banks, together with the property rights of human capital, it puts forward both unification and promotion of corporate governance of state-owned commercial banks, forms evaluation index system of commercial bank governance, and therefore, optimizes the corporate governance of state-owned commercial banks based on the property rights of human capital.
