National Security Review Mechanism Of China-us Foreign Mergers And Acquisitions Comparative Study

With the rapid development of foreign merger and acquisition, we recognize that foreign M & A not only has positive influence on China's economic and social development, but also threatens China's national security.Compared to the developed countries, China's foreign M & A national security review system is relatively backward. In 2011, China promulgated the notice of the establishment of foreign M & A national security review system. This show the foreign M & A national security review mechanism was established in china. The United States has been the forefront in the countries that has established foreign M & A national security review system.In this context, based on the comparison with and analysis of the related systems in The United States, pointing out the features and the shortage of China's foreign M & A national security review system, and try to further develop and improve China's foreign M & A national security review system mechanism.This thesis consists of four chapters which can be represented as follows. In chapter one, we make an introduction about national security in foreign M & A. In chapter two, we analyze the development process of foreign M & A national security review system in china and The United States. Chapter three elaborates the foreign M & A national security review mechanism of the United States and China, respectively. On this basis, we make a comparison between the two countries. Eventually, we point out the significance of the mechanism and the part of the mechanism that need further improvement.
