Comparative Study On The National Security Review Of Foreign Acquisition

Since the reform and openness, our country all long pay attention to introduction and exploitation of the foreign investment, and we got in positive results. With china accession of WTO and the expansion of market-opening, the foreign merger has been an important method in international community, its influence to our country's economy also fade in. Neither catalogue of foreign investment industries nor review and approval process in our country contains the issue of national security. Both comparison in economic power, and in level of correlated industries development cause that the developing countries should have more concern about the national security. But according to the current state, we can find a lot of the developed counties has advantage and rich experience. So from the perspective of comparative analysis the whole system of the National Security Review of Foreign Acquisition and its independent character, this thesis, makes overall research into the significance and connotation of the national security grounded on the China's current state of foreign acquisition and the experiences of the developed countries .On the other hand, this thesis ,ma kes a discussion about our country should govern the foreign acquisition to achieve the aim of balancing between the protection of the national security and the openness of foreign investment.This thesis compares four chapters, the abstracts of which are as follows:Chapter one mainly summarizes and analyses the influence of foreign acquisition in a country. Due to the value judgment of the national security attaches to the value cognition of the foreign acquisition, the part bases on the character and the influence of foreign acquisition to discuss the value of the national security review of foreign acquisition.Chapter two observe and study the legal institutions of the national security review of foreign acquisition in foreign countries, and legislative practice in the United States, Canada, Germany, Britain, France and Japan in particular .Chapter three in comparison with legislative purposes,target audience review,standard of review,censorship and others aspects between the National Security Review of Foreign Acquisition system and the Anti-trust Review system, to analyzing the location of the former.Chapter four standing on China's current legal system, proposes some suggestions on completion of the National Security Review of Foreign Acquisition system in our country, and dealing with the connection and complement between the national security and other institutions.
