| With the development of social economy, there are increasing law problems anddisputes as there are various ways of development springing up continuously and theway like anonymous investment is universal in companies. It is urgent to solve thoseproblems as how to confirm the anonymous investors'qualifications of shareholders,how to deal with various disputes concerning anonymous investment, how to takeprecautions against the risks of investment. However, there are no definite stipulationsin our laws concerning the company's anonymous investment so that local courts canonly solve such problems with their own interpretations in accordance with currentcivil and commercial law, which absolutely inflicts that different judges in differentcourts make different judgments on similar cases. Therefore it is necessary to makeuniform legislation on the company's anonymous investment.This thesis aims to solve the problem of confirming anonymous investors'qualifications of shareholders and other law disputes concerning anonymousinvestment, analyze how to protect the lawful rights and interests of the bona fide thirdparty and the company's anonymous investors as actual obliges from the perspectivesof legislation and judicial practice through elaborating the meaning and forms ofexpression of company's anonymous investors and the analysis of the legalrelationships between company's anonymous investors and named subscribers,between the company's anonymous investors and the company, between thecompany's anonymous investors and the third party. |
