All companies must pay more attention to corporate deadlock.Once corporate deadlock appears, it not only be great harmful to company,but also brings about negative influence on society, so the study of corporate deadlock is of great significance.However,corporation deadlock is close related to concept of modern corporation law. While the concept of modern corporation law such as the corporate autonomy,capital democracy, equity of shareholder promotes the great development of the corporation, it also leads to the side effect, for example,corporation deadlock.On the one hand,we can't abandon these concept, on the other hand,corporation deadlock brings about great harm.we are in a dilemma.So, the study of corporation deadlock is great significance to break the dilemma.This article consists of four chapters which make up of the understanding of corporate deadlock remedies.The first chapter is"The basic theory of the corporate deadlock".Though the study of basic theory of the corporate deadlock,we make the definitions and types of the corporate deadlock.The second chapter is "the formation of cororate deadlock ",The corporate autonomy,capital democracy, equity of shareholder and organizational form of limited-liability company supply the background of formation of corporate deadlock. The third chapter is"the non-judicial remedies of the corporate deadlock".Though the study of the basic theory and formation,we study the different non-judicial remedies that are the self-remedies by corporation by-laws,social remedies including mediation and arbitration.The last chapter is "The justification of judicial remedies of the corporate deadlock".Because of the shortage of the non-judicial remedies, we study the Chinese legislation,principle of limitation and basic thorey of the justification of judicial remedies. At last, we supply the suggestion of justification of judicial remedies..This article tries to formulate a set of valid judicial remedies by the study of corporate deadlock, we execpt that this article makes a contribution to the resolution of corporate deadlock.
