R&D has always been a very important social activity. It is an important way for enterprises to enforce their competitive capability and the essential dynamic behind the development of national economics. More and more enterprises seek R&D collaboration with other companies or research organizations, in purpose of sharing risk and benefits. However, the failure rate of R&D cooperation has always been high because of the opportunism behavior.In this article we look back the correlation theory about cooperative R&D and study how macro factors, features of industry, internal need of enterprise affect the motivation of cooperative R&D. On the base of research of incomplete contract, the article probes the impact of asset specificity, environmental complexity and bounded rationality.Then we construct a three-stage game model to describe the opportunism behavior in cooperative R&D. By the comparison of innovation level, profits, consumer's surplus and social welfare, we learn the motivation and influence of opportunism behavior. The study shows that opportunism behavior badly affects cooperation R&D, but cooperating on multiple dimensions of R&D can raise the stability of R&D cooperation effectively.On the base of the analysis we provide not only the enterprises but also the government some advice to avoid opportunism behavior. Finally, the article verifies the advice by introducing the example of Longxin Alianza Productive and TD-SCDMA Patent Pool. Their experiences have a positive influence to the enterprise when cooperating with other enterprises.
