YiLuo Company set up on the basic of the bankruotcy of YiYang Coal and the self-help of workers,its predecessor was YiYang Coal of Yima Coal Mining.May 19,2005, YiYang YiLuo Co., Ltd of Yima Coal Industry (Group) established.March 11,2009, Because controlling shareholder YiMei Group restructured as a limited company,so YiLuo company renamed as YiYang YiLuo Co., Ltd of YiMei Group.As a newly established joint-stock company, YiLuo company has many problems when it changed from State-owned enterprise to joint-stock company and when it establish clear property rights of the modern enterprise system.In particular, after backdoor listing of the controlling shareholder YiMei Group,YiLuo company need to solve the problem of repurchase shares held by shareholders on behalf of the issues.This article aims to analyze the current problems of YiLuo Company, defined the internal and external environment of YiLuo Company, so as to promote to establish a modern enterprise system.Based on the theoretical analysis, this article analyzed the problems and the resons of this company.Firstly,this article analyze this company from the three angles of history, ownership structure, operating conditions. Secondly, This paper, teviewed the company's share reform process, to find the source of the problem in this company.On this basis, the paper summarized the problem of this company, the management shareholders and employee-owned problems have been well described, respectively, and finally to address these issues, to analyze the root causes of their produce reasons. After a thorough understanding of this company share reform companies and their causes, this paper designed a program to solve these problems, including design principles and design goals, as well as specific solutions. Again, the solution design based on this paper in the implementation of the solution process should be noted, especially for the smooth implementation of the program, but also for this company share reform legacy of problems from all levels on a guarantee. Finally, The final chapter contain conclusions and proposed further research this issue.
