The corporate governance and firm Performance of listed companies has been being a hot topic being focused by researchers in the world. The firm Performance effection to a listed enterprise is extensively, but the elementary one comes from internal corporate governance. This essay analyses that the interaction between the corporate governance and firm Performance of HM company. And we found that the corporate governance has a normal impact on the firm Performance of inland medium and minor listed companies. The research finding of this article should be advantageous.This Paper is based on research ideas, such as theory research, demonstration analysis, and countermeasure suggestions. We comprehensively analysed the in pact of corporate governance on corporate performance in Chinese medium and minor listed enterprises, from the areas of ownership structure, board of directors and senior management incentive.Through the method of combining theory analysis with demonstration analysis, take HM company as example, we achieved the relation bebetween listed companieses'ownership structure and firm Performance so we provides countermeasure suggestions.Finally, the chapter combines the results of former theoretical and demonstration analysis, lodges the recommendations for optimizing ownership, structure and improving corporate Performance.of our medium and minor listed companies, including three specific aspects:(1) optimize distribution of the ownership structure, optimization corporate governance Structure (2) to invigorate institutional shareholders for the corporate performance:(3) enlarge the incentive mechanism on stock options, reduce the price of the entrusted agency.
