Recently,with the rapid development of SMEs in China and constant perfection of capital market and companies,governance structures. More and more SMEs are becoming listed companies in SME Board. Meanwhile, with the increasing complexity of enterprise external environment and the more diffused of company ownership, the companies all over the world began to introduce the stock option for motivating the senior corporate executives. The equity incentive plan also came into the medium-sized and small enterprises. As a long term encouraging system, the equity incentive plan has become popular in listed companies, but the negative impact became obviously. America corporations broke out financial scandals one after another, which originated from the high cost of the equity incentive plan, accounting scandal and government policies. These all gave rise to the decrease of achievements and high debt. The equity incentive plan like a double-edged sword, it has negative impact which cannot be ignored. It would lead to the illegal behavior of listed companies. All these made people issue a deeper equity incentive questions. So a research on the correlation of management equity incentive and corporate performance of the listed companies in China's SME Board will help us recognize implement status and effect of equity incentive on these companies and further perfect equity incentive mechanism and companies'governance structures.This thesis firstly reviews the basic theory of equity incentive, domestic and abroad research and the method of enterprise proficiency analysis, then gives a description on the background and characteristic of the high-tech companies in China's SME board. In the empirical study, the thesis sets up a multiple linear regression model of corporate performance and management equity incentive. It selects annual reports of high-tech companies in SME board from 2007 to 2009 as sample data to study the correlation of management equity incentive and corporate performance, which bases on factor analysis and regression analysis and steady test with the application of SPSS17.0 software.Through empirical research,the thesis got the following conclusions: there is a significantly linear Positive correlation between management equity incentive and corporate performance of the listed high-tech companies in China's SME board,which means that management equity incentive mechanism plays an active roll in the field of SME board. In the last part,the thesis puts forward related solutions and suggestions according to the empirical research conclusion and current situation of China equity incentive mechanism.
