Concerning The Contract Purpose

The purpose of the contract is the direction of a contract. It plays animportant role with the performance of the contract. The essence of the purposeof the contract is that, establish the obligations of the contract to ensure theperformance of the contract. This text analyzed the connotation of the contractpurpose, characteristics, the changed circumstances principle, and relationshipbetween the purpose of the contract and the breach of the contract.The first section: summarize about the purpose of the contract. This part ofthis section set forth the purpose of the contract to show the meaning of thepurpose of the contract. Besides that, it also pay attention on the significance ofthe purpose of the contract. This section focuses on distinguishing thedifferences between the purpose and the agreement. The purpose is only anagreement, but also a result of profit change.The second section: summarize about the characteristics of the purposeof the contract. First is the expected benefits, which make the purpose of thecontract itself achievable and relatively specific interests. Second is purposetermed. Itmeans that the purpose unachieved, the purpose unpractical, or the expense ofthe purpose required huge. Based on that, I focused on three points. One is"circumstances" is different from force majeure, business risk. Second is"circumstances" should occur after the establishment of the contract. Third isthat the consequences of changed circumstances has not actually occurred.The forth section: summarize about the link between the breach of thecontract and the purpose of the contract. In fact, This is not a necessary linkbetween the breach of contract and the purpose of the contract. But in severalspecific circumstances, the breach of the contract resulted in the purposeunachieved. To prove this point, I cited the actual cases of the Court to discussthe influence the purpose of the contract.
