Research For China’s Supervision Legal System Of Private Placement Fund

Private placement fund in China is the inevitable outcome of the development of capital market. With the development of market economy, the private placement fund becomes a new type of investment tool spontaneously. But because of the lag of legislation for our country’s private placement funds leg, the private placement fund in our country has been in the awkward position. Its connotation is unknown, the legal status has not yet clear and its regulation is unsystematic, which is not only easy to produce illegal operations, but also seriously damage the interests of investors. It will influence the stability of financial markets and the development of national economy. This article does research on its meaning, characteristics, forms of organization, combining the development of domestic and foreign private placement fund, in addition to doing research on the foreign private placement fund’s regulatory legislation, intended to build China’s supervision legal system of private placement fund, and to lead China’s private placement fund to a healthy development path. This paper is divided into five parts. The first part:introduction, explains the research background, significance and research methods. The second part: the summary of private placement fund, including its definition, characteristics, and its organizational form. The third part:the development of private fund in our country. By reviewing the development path of private fund in our country, to tell us the condition of China’s private placement fund, and to point out the problems existing in the development of it. The fourth part:the Anglo-American countries’ private fund’s development and regulatory legislation. By analyzing its legal supervision, provide china a good model. The fifth part: China’s supervision legal system of private placement fund construction, by researching the regulatory principles of regulation, market access regulation, and issuing supervision to seek our country’s private placement fund supervision legal system.
