Since2004, the restructuring of China’s State-owned companies havealways been taken the corperation system as pattern, the Board plays aimportant role in the Corporate governance structure while China’sState-owned companies facing various problems such like the ambiguity ofgovernments’ status, and the complicated relationship of the agencies,etcetera.I try to express the drawbacks of the Board of directors systemin our State-owned companies from six aspects in two angles. Basic on theserethink, I will give some practical suggestions.The two angles are theCompetitive state-owned company and the Non-competitive state-ownedcompany issue, and in each there is a main line: the running pattern“Government--State-owned management company--Investee company”, thenthe “Authority--Composition” aspects, and eventually to accomplish therestructuring system.
