It is a consensus all over the world that the company should assumethe corporate social responsibility. It has very important significance tothe science and sustainable development of the economic and the societyand the development of the long-term interests of the company, especiallythe assumption of the listed company. The corporate social responsibilityhas been turning from moral obligation to legal obligation. The most idealmethod to achieve the corporate social responsibility is that the companycould assume the corporate social responsibility consciously, and this isalso the lowest cost method. But the fact is that the social problem that iscaused by the misfeasance of the company has become more and moreserious. So the self-discipline of the company is not dependable, the lawrestriction is very necessary to achieve the corporate social responsibility.The company must be bound by law.There are two views of how to achieve the corporate socialresponsibility in the academic circles. One is that the legislature should strengthen the regulation and the supervision of the company in the law.And the other one is that it is a more effective way to adjust the internalmanagement structure of the company, and we can set up a supervisionmechanism inside the company. The achievement of the corporate socialresponsibility should be the result of the two methods above workingtogether. Adjusting the internal management structure of the company, toset up the board corporate social responsibility committee as the specialsupervisory organ for the corporate social responsibility inside thecompany has unique advantages compared with other methods. The boardcorporate social responsibility committee could assess the decision andactions of the company before the potential social problems that could becaused. Compared with the traditional remedies that will be applied afterthe social responsibility, the evaluation in advance of the corporate socialresponsibility committee could farthest alleviate the harm and the maybelost that aroused by the company. So, in the thesis, I analyzed thenecessity and the feasibility to set up the board corporate socialresponsibility committee. And then in allusion to how to achieve thecorporate social responsibility, I analyzed and designed the specificsystem construction of the board corporate social responsibilitycommittee. As an assurance to the effectiveness of the corporate socialresponsibility committee, I also analyzed and designed the behaviorstandards for the committee and designed the accountability system of the committee to avoid the situation that the committee fails to performduties.
