20years of the development of the Chinese stock market also means a microcosm of China’s reform and opening up. Looking back over the past20years (1990-2012), China’s securities market has made tremendous achievements. All known, the stock market is referred to as a barometer of the national economy, the healthy market has a direct impact on sustainable economic development in China. Chinese companies listed overseas is one of the direction of international standard in China’s securities market, although in recent years, many overseas listed companies has appeared some phenomena as delisting and suspension, still, China failed to meet its own capital accumulation "Chinese speed". So, outside financing is still one of the important national policies, the breadth and depth of China’s securities market also need to further expand our company through overseas listing.Because of its own high-risk and false statements of listed overseas companies, market development needs to regulate the securities market. And, the regulation is the main event. Although China’s regulatory system in this regard has made a progress, but it also has a lot of problems:outdated regulatory system, the lack of flexibility of the administrative supervision of thinking, not sufficiently independent of regulatory agency, the late start of the international regulatory cooperation. All of these will hamper the pace of China’s securities market development and Chinese companies listed overseas to a certain extent. The purpose of this paper is to strengthen the effective supervision of overseas listed companies in improving the theoretical studies based on the study of Chinese companies listed overseas securities regulators, in order to provide for a comprehensive revision of provisions of the overseas listing in this vear.
