| Indirect listing overseas is one of the most important means of financing for the domestic enterprises of China. And it is favorable for the domestic enterprises to improve the management level, regulate the management and establish modern enterprise system. So more and more domestic enterprises pay attention to list overseas indirectly. But in order to list overseas indirectly, the domestic enterprises shall slove a series of legal problems and be under the dul-supervision of domestic law and law of overseas listing region. Although the listing subject is a overseas enterprise, the assets and profits are come from the domestic enterprises. So the domestic enterprises shall make sure they conform with the domestic law. In this paper, the author analyzes the domestic law of our country supervising the indirect listing overseas and the legal problems in the typical pattern of listing overseas indirectly for the domestic enterprises respectively. This paper consists of four chapters.The first chapter mainly present the outline of the indirect listing overseas. It introduces the concept of indirect listing overseas and the current situation of indirect listing overseas in our country. Then it introduces the tow main patterns of listing overseas, that is, direct listing and indirect listing. Finally, the basic operating procedures are introduced in this chapter. The purpose of this chapter is to sort out relative concepts and get a macro impression of indirect listing overseas.The second chapter mainly analyze the legal supervison for domestic enterprises to list overseas indirectly. This chapter mainly introduces the main laws and regulations supervising the indirect listing overseas. And the author separates the supervison history into four parts according to some key laws and regulations. Then the author analyzes and studies two main regulaitons thoroughly, regulation No.75and regulation No.10, which are effective currently. And the features of indirect listing overseas are summarized finally.The third chapter mainly analyze the legal problems in the typical pattern of indirect listing overseas. That is, the Pattern of Sina. Pattern of Sina is used widely in the indirect listing overseas for the domestic enterprises. In this chapter, the concept and the basic frame of this pattern are introduced firstly. Then the author chooses Tudou as an example to analyze the legal problems in the listing procedures.The fourth chapter introduces some relative laws and regulation in other countries and regions. Then some experience is concluded, and some advices to improve the relative laws and regulations of our country are given. |
