The Research On Blank Instrument Complementary Rights

Blank bill is pointed out that the bill which drawer only signs and leaves other items blank and authorize holder to finish the bill. Blank instrument complementary rights have an important influence to the blank bill, Therefore, I have started with the research of complimentary rights, and then give my suggestion to the legal institutions of blank bill in our country. This thesis consists of five parts.The first part is the, origin of blank bill. I will analyze the definition of blank bill. About the components of the blank bill, scholars have no unified understanding, but most of them suggested that blank bill have four elements:(1) blank bill should have a drawer’s signature;(2) blank bill must be lacked of the matter shall be recorded;(3) the bearer shall grant the blank instrument complementary rights;(4) blank bills must be delivered to the holder. I agreed with above point.The second part is about of the nature of blank bills and main body of the complimentary rights exercise. I think that the nature of blank instrument complementary rights is a condition of blank bill behavior coming into effect. As to the execution of the main body, anyone can become the holder who gets the blank bill in legal, not limited to the receiver.The third part mainly analyzes the nature of blank bill behavior and the authorization of complimentary rights. Scholars have a great dispute of the nature of blank bill behavior. However, there are four representatives of the theory:offer and acceptance theory; theory of commission relationship; agency theory and authorized theory. I approved authorized theory. However, authorized theory has a short slab that blank instrument complimentary rights once granted, may not be revoked unless the law has a regulation. I also agree with the theory of implied authority relate to authorization of complimentary rights.The fourth part is about the effect and limitation of blank instrument complimentary rights. Before complimentary rights exercise, the holder can not asking for payment, but blank bill can be transfer. After the reasonable exercise of complimentary rights, it will result in two kinds of consequence: the one is the blank bills were added completely that become completely bill. The other is the holder deliver blank bill to next bearer after partial exercise the complimentary rights. I insist that the limitation of complimentary rights could be reasonable time that set up by commercial instrument law.The fifth part is the suggestion to perfect Chinese’s blank bill’s legislation. In this part, I suggest that the commercial instrument law in China should be increase the kinds of blank note, and confirm the legal form of blank instrument complimentary rights, and grant the holder can transfer blank bill, and explicitly identified the effect and limitation of blank instrument complimentary rights.
