With the rapid development of network technology and e-commerce, online shoppinginto the life of the general public is becoming one of the people’s consumption patternsand brings the convenience to people’s lives. Group-buying Online evolves on the basis ofthe traditional online shopping, by professional shopping site’s as third-party serviceplatform publishing the information of the low discount for the sale and purchaseagreement between businesses and consumers. The advantage of Group-buyingsignificantly different from the traditional way of selling, so that many people enjoyGroup-buying for its convenience. Group-buying Online as something new,the ethusiasmof consumers and investors make the number the site expand dramatically,so as thenumber of commodities. Group-buying Online, the parties involved in the transactionincluding two aspects:the consumption of consumers and shopping site online transactionsas well and consumers and businesses offline. because of the confusion of the marketoperation mechanism and kinds of dealing modes, there are lots of transaction problemsemerging between the parties,and its development is faced with a variety of opportunitiesand challenges. This new mode for commercial transactions bring a great impact on thetraditional laws and regulations to adjust the gaps, resulting in a lot of controversy.Domestic experts on network consumption theory and legal scholars explore the legalissues involved in Group-buying Online still preliminarily and limitedly, and systematicanalysis the rights and obligations of the parties and the problems involved inGroup-buying online will make sense for the orderly development.This article are divided into the following four parts.The first chapter is an overview of concepts and characteristics of Group-buyingOnline. Include the three modes of group-buying and the perchasing-process of the modeto be discussed in this paper, and through comparison with the traditional consumptionpatterns and Group-buying online, analysis distinctive characteristics of Group-buyingonline.The second chapter is the focus of this article. Only clarifying the legal relationship between the parties in Group-buying Online transactions, we can correctly handle avariety of complex disputes between the parties. This part is to analys the legalrelationship between the parties involved in the transaction and the legal status of the siteconducte, and elaborates the rights and obligations of the parties.The third chapter, the author combined with the practical problems from thetransaction process, gives the corresponding recommendations.Chapter IV for the current protection of consumer rights laws and regulations andspecifications shopping site operations, a simple analysis is proposed to improve theexisting laws and regulations rather than simply promulgate of the new single law toregulate the market.
