The first network group-purchasing website "Groupon.com" operated at2008and got a great success as a new E-commerce mode in a short time. Then, this mode was widely copied by lots of website in our country. The building and operation of a large number of group-purchasing website create enormous commercial value. At the same time, it bring up a lot of disputes. As a new E-commerce mode, network group-purchasing appeared in our country no more than2years. Therefore, there are no supporting laws and regulations and the legal relationship about network group-purchasing is still in a orderless condition. In order to build a new criterion about operates to network group-purchasing, this passage aimed to analysis different law relationships and build a foundation to solve In the first place the problems.In the first place of the paper,I will give the network group-purchasing a outline. Frist, I will point out the distinction between Groupon mode and others group-purchasing. Next, the paper subdivide Groupon mode site into different types with different profit model. Finally, I will analyze the characteristics about Groupon mode network group-purchasing.In the second place, I will analysis the principal part in the law relationship of network group-purchasing. The network group-purchasing websites, entity providers and consumers are most important participants. The passage will study the three participants’legal capacity and capacity and get a conclusion about their position in the law relationships.At the following part, the passage will focus on the action of network group-purchasing website. As the center of the law relationship, the network group-purchasing website intervene it by different ways and the different ways bring complex law relationship.According to the appeared reality,I will use chart and real case to analysis the relationship among network group-purchasing websites, entity providers and consumers. On the basis of the analysis,I will certain their different rights and obligations. The operation of group-purchasing website is commercial intermediary conduct, including commercial generation broker and brokerage. Then, the passage will give consumers some suggestion about their rights.The last part emphasizes that we should build a new system to regulate the operation of network group-purchasing. The first suggestion is build regulatory mechanism about participants. The second is build a control mechanism in the operation process. The third is build a dispute solve mechanism after-sales.
