Research On Legal Issues About Company Non-bankrutcy Liquidaton

As an important entity of modern market economy, company and its related activities will have a huge impact on the market economy. It has an important significance that the credits and debts are correctly handled after the dissolution of the company, and surplus property well distributed, on the rational exit of company from the market and maintenance of market stability. And as an important standardized system prior to the termination of the company, non-bankruptcy liquidation plays an irreplaceable role in settling the pre-existing legal nexus and elimination of corporate legal personality. Targeting on the current legal provisions of non-bankruptcy liquidation system, while drawing on the legislative experience of the legal system in developed countries, we made a study on the start procedure, main bodies and finish procedure of non-bankruptcy liquidation proceedings in our country, in order to find potential problems and their solutions.
