The Reaserch On Independent Dirrectors’ Liability Insurence

Independent director play an increasingly important role on improving the corporationgovernance structure and safeguarding the legal interest of listed company，esp. theminor shareholder.In recent years, with the trend of strengthendirectors’responsibilities and liabilities by companys，how to lighten independentdirectors’ liabilities, diliversify their occupational risks, has become an importantissue of concern to thepractitioners. In this context，the application of the IndependentDirectors’Liability Insurance is benefit for the independent directors. This articlebased on the actual situation of the independent directors’ in our country andcombined with China’s relevant laws and regulations,to comb the responsibilities ofthe independent director. I point out the special liability and risk of the independentdirectors. And then I focus on the analysis of the independent director liabilityinsurance develops slowly in our country law and system obstacle。Finally, based oncoordination with China’s existing legal system and corporate governance practices,and build on the specific system and the content of the independent directors’ liabilityinsurance. The purpose of this paper is to comb and recommendations of theindependent directors liability insurance system, to make some modest contribution topromote the improvement of corporate governance in China and the independentdirectors’ liability insurance system.
