Comparative Study Of China-Korea One-man Company

In the modern market economy, for the purpose of maximum profits, commercial enterprises are always changing .Various new forms of enterprises emerged, changed, disappeared . Chinese companies are divided into limited company and stock company (CO,LTD).Limited company is majority in China and Korea company .And in Korea ,companies are divided into unlimited partnership (unlimited company), joint stock company (unlimited, limited mixing form), stock company, limited company. Stock company is majority in Korea.Let's try to search about one-man company drawing that recognize the form revision of company law and commercial law each in two countries that is just recently between the company system.The company which has only one stockholder is called one-man company. This kind of company is set up not only in stock collection but also in private enterprise which becomes artificial person then and in the business separation. Especially many small and medium companies want to reduce their risk and taxation by this means.One-man company is admitted in the Company Law emend in China in 2006 and in the Commercial Law emend of 2001 for Korea. Through these measures the dispute of one-man company reduced but not in Korea. Because admitting of one- man company is not by the way of lawmaking but by an indirect way of changing the least stockholder limit. So there are no one-man company's own regulations but to apply the prevalent regulations of all companies. There are many problems including the character of juridical association. Therefore, purpose of this study is want to contribute one-man company pottery manufacturing of serious two countries in one-man company system development between two countries studying comparison.This dissertation comprises of four chapters:Chapter one focuses on the actuality of company system and one-man company in China and Korea analyzing the change of legislation.Chapter two is the common theory of one-man company, introducing the definition, characteristic, development of one-man company and the disputes about it.Chapter three studies on the company system and one-man company system in China and Korea, and makes analysis.Chapter four is the comparison of company system and one-man company in China and Korea. Some suggestions and measures were also made by the author at last.
